Objective: Every contract that
crosses a physician's desk is a potential mine field of legal issues. Whether contemplating a new employment contract or negotiating a preferred
provider agreement, there are legal risks beyond the economic deal points that
should be weighed and assessed. This presentation is designed to give
physicians common sense legal tips on what should be considered when they
review and negotiate contracts pertaining to their medical
practices. Should they sign a letter of intent? How negotiable are compensation
and benefits? Are there hidden costs? What else should they be asking for? Is
staffing a concern? Is it better to be an employee or an independent
contractor? Is exclusivity a concern? How enforceable is a covenant not to
compete? Are there licensure, billing, regulatory or staff privilege
issues? Is arbitration a good thing? Who pays for insurance? What are the
risks if the deal doesn't work out?
Presenter: Tom Pedreira, JD -
Mikkelberg Broz Wells & Fryer Tom Pedreira is a
business attorney who has represented physicians and other health care
providers for almost 30 years on legal matters covering the entire spectrum of
their practices (e.g., formation of medical groups and provider panels,
licensure issues, medical board accusations, managed care arrangements,
regulatory matters, medical staff problems, Medicare and Medicaid
reimbursement, defending against malpractice and sexual harassment actions,
HIPAA matters, conflicts of interest, and fraud and abuse claims). He has also
represented and worked with health care facilities (e.g., hospitals, hospices,
surgery centers), managed organizations (e.g., HMO's, IPA's, PPO's, MSO's),
non-profit entities (e.g., health consortia, medical societies, medical care
foundations) and medical staffs. He was recently rated as one of Seattle's 2010
best health care attorneys by Seattle Metropolitan Magazine.
